You must read and accept this agreement before accessing the Broadcast feature.
WARNING: By enabling Broadcast following, you authorize ClearEdge Automation to automatically execute trades in your connected brokerage account(s) based on signals generated by a third-party user (the "Broadcaster"). You may lose some or all of your invested capital. ClearEdge Automation does not endorse, vet, or guarantee the results of any Broadcaster.
This Broadcast Follower Agreement (the "Agreement") is entered into between you (the "Follower" or "User") and FjordPath, Inc., doing business as ClearEdge Automation (the "Company"). This Agreement governs your use of the Broadcast following functionality within the ClearEdge Automation platform. By clicking "I Agree" or otherwise activating the Broadcast follow feature, you agree to be bound by this Agreement in its entirety.
1. Description of the Broadcast Feature
The Broadcast feature is a technical signal-routing function that allows a designated ClearEdge user (the "Broadcaster") to share their trade signals with opted-in users ("Followers"). When you follow a Broadcaster, ClearEdge Automation will automatically route that Broadcaster's trade signals to your connected brokerage account for execution, subject to the settings and limits you configure.
ClearEdge Automation's role is limited to technical signal routing. The Company does not evaluate, vet, supervise, endorse, or control the trading activities, qualifications, strategy, or past performance of any Broadcaster.
2. No Investment Advice or Endorsement
Following a Broadcaster through the ClearEdge platform does not constitute the receipt of investment advice, financial planning, or commodity trading advisory services from ClearEdge Automation or FjordPath, Inc. The Company is not a registered investment advisor (RIA), commodity trading advisor (CTA), broker-dealer, or financial planner.
The Company does not:
Verify whether any Broadcaster holds required registrations, licenses, or regulatory approvals;
Represent or warrant that any Broadcaster's strategy is suitable, profitable, or appropriate for your financial situation;
Monitor, supervise, or audit any Broadcaster's trading activity on your behalf;
Guarantee or imply any level of return associated with following any Broadcaster.
3. Assumption of Risk
By activating the Broadcast follow feature, you expressly acknowledge and assume the following risks:
Execution Risk: Your trade execution may differ materially from the Broadcaster's execution due to latency, broker-specific limitations, margin requirements, or other technical factors.
Strategy Risk: The Broadcaster's strategy may not be suitable for your account size, risk tolerance, or financial goals.
Broadcaster Risk: The Broadcaster may change their strategy, cease broadcasting, make errors, or incur losses. ClearEdge Automation has no control over and bears no responsibility for the Broadcaster's conduct.
Software and Transmission Risk: Signal transmission errors, software bugs, connectivity failures, or broker outages may cause missed trades, duplicate trades, or incorrect trade executions.
Market Risk: All trades executed through the Broadcast feature are subject to the inherent risks of futures trading, including but not limited to market volatility, leverage, and liquidity risks as described in the Important Disclosures.
Total Loss Risk: You may lose some or all of the capital in your connected trading account(s).
4. Your Responsibilities as a Follower
As a Follower, you are solely responsible for:
Conducting your own due diligence on any Broadcaster before electing to follow them.
Configuring appropriate position sizing, stop-loss levels, and other risk parameters within your ClearEdge account.
Ensuring your connected brokerage account has sufficient capital and margin to support replicated trades.
Monitoring your account regularly, particularly during periods of market volatility, contract rolls, or news events.
Complying with all applicable laws, regulations, and your broker's terms of service.
Disabling the Broadcast follow feature at any time if you wish to cease following a Broadcaster.
Will physically supervise while following a broadcast.
5. Hold Harmless and Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless FjordPath, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Broadcast follow feature;
Trades executed in your account as a result of Broadcaster signals;
Any losses arising from software errors, transmission failures, or broker-side issues in connection with Broadcast;
Your failure to monitor your account or properly configure risk parameters;
Any reliance on a Broadcaster's signals as investment advice.
This hold harmless provision does not apply to losses directly caused by the Company's intentional fraud or violation of applicable law.
6. Feature Availability and Termination
ClearEdge Automation reserves the right to suspend, modify, or discontinue the Broadcast feature at any time without prior notice. The Company may remove any Broadcaster from the platform at its sole discretion. Your continued access to the Broadcast follow feature is subject to compliance with this Agreement and the ClearEdge Automation Terms of Service.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
8. Entire Agreement
This Agreement, together with the ClearEdge Automation Important Disclosures, Privacy Policy, and Terms of Service, constitutes the entire agreement between you and the Company regarding the Broadcast follow feature and supersedes any prior representations or agreements.
Acknowledgment and Acceptance
By clicking "I Agree," activating the Broadcast follow feature, or otherwise using the Broadcast functionality, you acknowledge that:
You have read and understood this Broadcast Follower Agreement in its entirety;
You are 18 years of age or older and legally capable of entering into this Agreement;
You understand that trading futures involves a high degree of risk and that you may lose your entire investment;
You are not relying on ClearEdge Automation for investment advice; and
You agree to be bound by the terms of this Agreement.
