Broadcaster Pre-Session Agreement

You must read and accept this agreement each time you initiate a Broadcast session.

NOTICE: By initiating a Broadcast session, your live trades will be automatically replicated to the accounts of opted-in Followers. You are solely responsible for your trading decisions and their impact on your own account. ClearEdge Automation bears no responsibility for losses incurred by Followers or yourself during a Broadcast session.

This Broadcaster Pre-Session Agreement (the "Agreement") is presented to you (the "Broadcaster") each time you initiate a Broadcast session on the ClearEdge Automation platform. By clicking "Start Broadcast" or otherwise initiating a Broadcast session, you agree to be bound by this Agreement.

1. Nature of the Broadcast Role

When you initiate a Broadcast session, your trade signals—generated through your ClearEdge Automation dashboard—will be routed in real time to the brokerage accounts of ClearEdge users who have elected to follow your Broadcast feed ("Followers"). You acknowledge that:

  • Your trade signals will be automatically executed in Followers' accounts without further action or review by those Followers at the time of each trade.

  • ClearEdge Automation does not review, approve, or intervene in the signals you generate during a Broadcast session.

  • Followers have independently agreed to the Broadcast Follower Agreement and have assumed all risk associated with following your feed.

2. You Are Not Acting as a Registered Advisor

Broadcasting your trades through ClearEdge Automation does not, by itself, constitute acting as a commodity trading advisor (CTA), registered investment advisor (RIA), or any other regulated financial professional. However, you acknowledge that:

  • Depending on the jurisdiction in which you are located, the nature of your Broadcast activity, and any compensation you may receive in connection with Broadcast, you may be subject to registration requirements under the Commodity Exchange Act, applicable state laws, or other regulations.

  • It is your sole responsibility to consult with a qualified legal or compliance professional to determine whether your Broadcast activities require regulatory registration or licensing.

  • ClearEdge Automation makes no representation regarding your regulatory status or obligations and expressly disclaims any responsibility for ensuring your compliance with applicable laws.

3. Broadcaster Conduct Standards

While broadcasting, you agree to:

  • Trade in good faith and in accordance with your stated or implied strategy for the sole and only purpose of education.

  • Refrain from engaging in any trading activity designed to manipulate markets, generate artificial volumes, or otherwise engage in conduct that is fraudulent, deceptive, or in violation of applicable law.

  • Refrain from broadcasting trades that you know or reasonably should know will result in the violation of a Follower's broker rules (e.g., prop firm trading rules), to the extent you are aware of such restrictions.

  • Immediately cease broadcasting if you experience technical issues, signal misfires, or other conditions that could harm Followers' accounts and report technical issues to [email protected]

4. No Liability to Followers

You acknowledge that, absent intentional fraud or willful misconduct on your part, you bear no legal liability to Followers for trading losses incurred as a result of following your Broadcast feed, as Followers have independently assumed all such risk pursuant to the Broadcast Follower Agreement. However, you agree that:

  • You will not engage in any deceptive or manipulative conduct in connection with your Broadcast activity.

  • You will not misrepresent your trading results, strategy, qualifications, or risk profile to prospective Followers.

5. No Guarantee of Execution Consistency

You acknowledge and understand that Followers' trade execution may differ materially from your own due to latency, broker-specific variables, position sizing, and other factors. ClearEdge Automation does not guarantee that Followers will receive, execute, or fill your signals at the same price or under the same conditions as your own trades.

6. Your Own Trading Risk

Broadcasting your trades does not alter the inherent risks of futures trading to your own account. You remain solely responsible for your own trading decisions and any resulting losses. ClearEdge Automation's liability to you as a Broadcaster is limited to the terms set forth in the Important Disclosures and Terms of Service.

7. Session Monitoring and Termination

You agree to, at all times, actively monitor your Broadcast session for the duration of its operation. You understand that:

  • ClearEdge Automation may, at its sole discretion, terminate your Broadcast session or Broadcaster access at any time if it determines that your activity poses a risk to Followers or violates this Agreement, the Terms of Service, or applicable law.

  • You are responsible for ending your Broadcast session promptly when you cease active trading or if you experience any technical issues.

8. Indemnification

You agree to indemnify, defend, and hold harmless FjordPath, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Any misrepresentation made by you to Followers or prospective Followers;

  • Any fraudulent or manipulative trading conduct during a Broadcast session;

  • Your failure to comply with applicable laws or regulations governing your Broadcast activities;

  • Any third-party claims by Followers arising from your Broadcast activity, to the extent such claims result from your intentional misconduct or fraud.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

10. Acknowledgment

By initiating a Broadcast session, you confirm that:

  • You have read, understood, and agree to this Broadcaster Pre-Session Agreement;

  • You understand that your trade signals will be automatically replicated to Followers' accounts;

  • You are trading with your own risk capital and understand the risks of futures trading;

  • You are not holding yourself out as a registered investment advisor or CTA unless you are independently registered as such; and

  • You accept sole responsibility for your trading decisions and their consequences.
